PARTICIPANT TERMS
Decided, Inc. · Last updated: October 20, 2026 · https://decided.com/legal/participant-terms
These Participant Terms (the "Terms") apply when your employer invites you to take part in interviews on the Decided platform (the "Service"). Please read them before your first interview. You accept them by checking the box and selecting "I agree". If you do not agree, do not take part, and let your employer know.
Section 12 requires disputes with Decided to be resolved by individual arbitration and waives class actions, unless you are in the United Kingdom or the European Union or you opt out within 30 days.
1. Who is who.
1.1 Decided. Decided, Inc. ("Decided", "we", "us") is a company based in New York that provides the Service. Clara is the AI interviewer in the Service.
1.2 Your employer. Your employer is Decided's customer. It chose to use the Service, decides who is invited, and controls the information collected in your interviews. Decided processes that information on your employer's behalf, under an agreement between Decided and your employer.
1.3 These Terms. These Terms are an agreement between you and Decided. They do not replace your employer's policies, which continue to apply to your work.
2. How interviews work.
2.1 Clara asks you about your work, such as your priorities, what slows you down, and decisions that need to be made. You can talk or type, in many languages. You decide what to share, and you can skip any question.
2.2 Decided records voice interviews, transcribes them, and uses AI to analyze what you and your colleagues say. The Service turns this into reports for your employer's leadership on priorities, blockers, risks, and open decisions.
2.3 Recording starts only after you select "Start" on a screen that tells you the interview is recorded and transcribed. You can stop an interview at any time.
3. Recording and AI processing.
3.1 By accepting these Terms, and again each time you start an interview, you agree that Decided may, on your employer's behalf:
(a) record your voice during voice interviews, and save your typed answers during text interviews;
(b) transcribe your interviews and store the transcripts; and
(c) analyze your answers with AI and include them in reports for your employer.
Decided's service providers, including AI and speech-to-text providers, do this on Decided's behalf and only to provide the Service.
3.2 If you do not want your voice recorded, you can type your answers instead.
3.3 If you are in the United Kingdom or the European Union, this Section 3 is a notice, not a request for consent. Your employer's privacy notice explains the legal basis for processing your personal data.
4. Who sees your answers.
4.1 Review and edit. After an interview, you can review and edit your answers before you save them, and for a limited time after you save them, shown in the Service (currently about one hour). After that, your answers are final.
4.2 Who sees your answers. Your final answers are not anonymous. People at your employer who use Decided, and others your employer allows to see them, such as board members, lawyers, or consultants, may see your final answers, or points drawn from them, with your name. What each person sees depends on their role. For example, leadership sees the overall picture, and managers and colleagues see points that concern their work. Clara may also tell other participants what you said, with your name, to help align work. For example, Clara may tell a colleague that you are working on a different priority than they are. Reports may quote or summarize what you said and identify you. Decided does not filter or edit what participants say about each other.
4.3 What your employer does not see. Your employer cannot access your audio recordings, your answers before they are final, or the changes you made. Decided does not give them to your employer, except where the law requires it, such as under a court order. If you ask to access your own data, Decided may give it to you directly.
4.4 Other companies. Decided never shares your answers with any other customer. Decided may use statistics that are de-identified and aggregated, so that they cannot identify you or your employer, to improve the Service.
5. What Decided does not do.
Decided does not:
(a) evaluate, score, or rank you, or recommend any action about you;
(b) analyze your tone of voice, infer your emotions, create voiceprints, or identify you by your voice; or
(c) use your answers, or data derived from them, to train AI models.
Under its agreement with Decided, your employer has agreed not to use the Service to evaluate the performance of individual employees, to make or substantially influence employment decisions about individuals, to monitor union or other protected activity, or to retaliate against anyone because of their answers. That agreement is between Decided and your employer. Your employer may still investigate and act on what you say if it reveals unlawful conduct, a safety risk, or a serious policy violation.
6. Clara is not a reporting channel.
6.1 Clara is not part of your employer's human resources function, a hotline, or an emergency service. Clara does not alert HR or anyone else, and Decided does not monitor interviews for these concerns.
6.2 If you raise harassment, discrimination, safety, or similar concerns, Clara will suggest that you contact your HR team or another channel your employer provides. Telling Clara about a concern is not a formal complaint to your employer. Anything in your final answers is visible to your employer like any other answer.
6.3 In an emergency, contact your local emergency services.
7. What you agree to do.
When you use the Service, you agree to:
(a) share your own views about your work;
(b) avoid sharing unnecessary sensitive details about yourself or others, such as health information, government identification numbers, or financial account numbers;
(c) share confidential information of third parties, such as clients or partners, only as your employer permits;
(d) not submit anything unlawful, threatening, or harassing, or any malicious code;
(e) not access another person's account, interfere with the Service, or try to reverse engineer it;
(f) keep your login details secure;
(g) when you talk about colleagues, focus on work and do not say things you know to be false; and
(h) take voice interviews where other people cannot be heard, and do not record anyone else.
8. Your information.
8.1 Decided handles information from your interviews on your employer's behalf, as described in our Privacy Policy at https://decided.com/legal/privacy-policy. Your employer's own privacy notice also applies.
8.2 Decided stores interview information in the United States. Members of Decided's team in the United States, the United Kingdom, Italy, and the Netherlands may access it to provide and support the Service.
8.3 Decided deletes audio recordings within 90 days after the interview. It keeps transcripts and final answers while your employer uses Decided, and deletes them within 60 days after your employer stops using Decided, unless your employer deletes them sooner.
8.4 To access, correct, or delete information from your interviews, contact your employer. If you contact Decided, we will pass your request to your employer and help it respond.
8.5 As between you, your employer, and Decided, your answers form part of your employer's data. You allow Decided to process them to provide the Service to your employer.
8.6 If you leave. If you leave your employer, your access to the Service ends. Your final answers remain part of your employer's records, with your name.
9. Your rights as an employee.
9.1 These Terms do not create an employment or other relationship between you and Decided, and they do not change the terms of your employment.
9.2 Nothing in these Terms limits your right, without notice to Decided or your employer, to: (a) discuss your wages, hours, and other terms and conditions of employment with colleagues or others; (b) discuss or disclose information about unlawful acts in the workplace, such as harassment or discrimination; (c) report concerns through your employer's channels; or (d) communicate with, file a complaint with, or provide information to a government agency or regulator, or receive a whistleblower award.
10. AI outputs.
The Service uses AI, and its reports may be incomplete or inaccurate. Reports reflect what participants said, and your employer is responsible for how it uses them.
11. Disclaimer and limitation of liability.
11.1 To the extent the law allows, the Service is provided "as is", without warranties of any kind.
11.2 To the extent the law allows, Decided is not liable to you for any indirect, incidental, special, consequential, or punitive damages, and Decided's total liability to you relating to the Service is limited to US$100.
11.3 Section 11.2 does not apply to Decided's breach of Sections 4, 5, or 8, to gross negligence, willful misconduct, or violation of law, or to any liability that cannot be limited by law.
12. Disputes with Decided.
12.1 Scope. This Section applies only to disputes between you and Decided. It does not apply to any dispute between you and your employer.
12.2 Informal resolution. Before starting a claim, you and Decided will try to resolve the dispute informally for 30 days. To start, send contact@decided.com a notice, signed by you, with your name, contact details, and a description of the dispute. Limitation periods are paused during these 30 days.
12.3 Arbitration. If the dispute is not resolved, it will be decided by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Where the AAA's Mass Arbitration Supplementary Rules apply, they also govern. Decided will pay any arbitration filing and administrative fees beyond what you would pay to file a claim in court. You and Decided may each still bring an individual claim in small claims court.
12.4 No class actions. You and Decided will bring claims only individually, not as a plaintiff or class member in any class, collective, or representative action. If this Section 12.4 is found unenforceable for a claim, Section 12.3 does not apply to that claim.
12.5 Exceptions. This Section 12 does not require arbitration of any claim that the law does not allow to be subject to pre-dispute arbitration, including claims of sexual harassment or sexual assault that you choose to bring in court. Claims for public injunctive relief, where the law does not allow them to be waived, will be decided by a court after any arbitration of individual claims. A court, not an arbitrator, decides whether Section 12.4 or 12.5 applies or is enforceable.
12.6 Opt out. You may opt out of Sections 12.3 and 12.4 by emailing contact@decided.com within 30 days after you first accept these Terms. Opting out does not affect your use of the Service.
12.7 UK and EU. If you are in the United Kingdom or the European Union, Sections 12.3 to 12.6 do not apply, and you may bring claims in the courts where you live.
12.8 Governing law. These Terms are governed by the laws of the State of New York, except where the law where you live requires otherwise. Any claim not subject to arbitration will be brought in the state or federal courts located in New York County, New York, unless Section 12.7 applies.
13. Record of your acceptance.
Your employer may rely on these Terms and your acceptance of them. Decided keeps a record of your acceptance and of the recording notice shown before each interview, and may share that record with your employer. Decided keeps these records for 3 years after your employer stops using Decided, only to establish or defend legal claims. They do not include what you said in interviews.
14. Changes.
If we make a material change to these Terms, we will ask you to accept the updated Terms before your next interview. If you do not accept them, do not take part in further interviews. Changes do not apply to disputes that arose before the change.
15. Contact.
